Item 5 Fees and Compensation
Investment Management Services
Our annual fee for investment management services is .95% (1.5% subject to specific client circumstances) of the
value of your assets under our management. Assets in each of your account(s) are included in the fee assessment
unless specifically identified in writing for exclusion. If the investment management agreement is executed at any
time other than the first day of a calendar quarter, our fees will apply on a pro rata basis, which means that the
investment management fee is payable in proportion to the number of days in the quarter for which you are a
client. Qualified clients with a minimum investment of $1,000,000 may also be charged a performance fee as
detailed in Item 6 Performance-Based Fees and Side-By-Side Management.
Investment management fees are paid in arrears. The fee percentage is generally used to compute fees daily based
on NAV. The daily amounts are aggregated and assessed at the end of the calendar quarter. If you elect to pay
management fees separately (i.e., not being withdrawn directly from your account(s)), the computation for fees
will be stipulated according to a separate Fee Invoice Agreement, mutually agreed upon by us and you.
Example of Management Fee Calculation
• For investments under management of $1,000,000:
• The daily fee is calculated as follows .95% (1.5% subject to specific client circumstances) x (1/252
trading days in a year) x daily NAV
• Generally, at the end of the calendar quarter, the aggregate total for every trading day of the quarter is
then withdrawn from the account as the management fee for the quarter.
Fees are negotiable, at our sole discretion. Your specific fee will be memorialized in an investment management
agreement. You may terminate their account within five (5) business days of signing the investment management
agreement with no obligation. Thereafter, you may terminate advisory services at the end of each calendar
quarter by giving sixty (60) days written notice. You will incur a pro rata charge for services rendered prior to the
termination of the investment management agreement, which means you will incur advisory fees only in
proportion to the number of days in the quarter for which you are a client
We consider cash to be a distinct asset class and the value of such assets are included in the management fee
calculation. When yields on cash/money market funds are low enough, the amount of income those investments
generate will not exceed the dollar amount of the investment management fee that your accounts pay
proportionately with respect to those assets. Consequently, you will indirectly experience a negative effective
return on any cash position during these periods of low interest rates.
At our discretion, we may combine the account values of family members living in the same household to
determine the applicable investment management fee. For example, we may combine account values for you and
your minor children, joint accounts with your spouse, and other types of related accounts. Combining account
values may increase the asset total, which may result in your paying a reduced investment management fee based
on the available breakpoints in our fee schedule stated above.
Additional Fees and Expenses
You are responsible for the payment of all third-party fees (i.e., custodian fees, brokerage fees, mutual fund/ETF
fees, transaction fees, etc.). Upon the execution of the investment management agreement, after consultation with
us, you will choose a custodian (“Custodian”) and establish an account. We generally recommend our clients to
use Interactive Brokers LLC or Charles Schwab & Co., Inc. Not all firms require that clients use one specific

Item 7 Types of Clients We offer investment advisory services to individuals (other than high net worth individuals) and high net worth individuals, including Qualified Clients as defined by the SEC Rule 205-3 under the Investment Advisers Act of 1940. In general, we require a minimum of $1,000,000 to open and maintain an advisory account. At our discretion, we may waive this minimum account size. For example, we may waive the minimum if you appear to have significant potential for increasing your assets under our management. We may also combine account values for you and your minor children, joint accounts with your spouse, and other types of related accounts to meet the stated minimum. |
