Item 5 – Fees and Compensation
Wealth Management
The fees charged by the firm is established in a client’s written agreement between the client and
PlanVest Financial, Inc. – generally not to exceed 1.75% of assets under management as of the
last business day of the previous quarter. Fees are not different as a result of the particular
advisory program selected but negotiated based on the specific needs and complexity of
individual client accounts. Clients can determine to engage the services of PlanVest Financial,
Inc. on a discretionary, limited discretionary or a non-discretionary basis. The firm’s annual
investment advisory fee shall be based upon a percentage (%) of the net market value and type
of assets placed under the firm’s management to be charged quarterly in advance.
Fees are deducted monthly in arrears for assets held at Schwab.
Clients of PlanVest Financial, Inc. enter into a separate agreement directly with the
qualified custodian to authorize fee deductions.
PlanVest Financial, Inc. does not have the direct ability to deduct fees and the custodian
will not act upon instructions from PlanVest Financial, Inc.
The qualified custodian periodically sends clients of PlanVest Financial, Inc. reports
(usually monthly or quarterly) that also details the:
o amount of the fee charged;
o amount of assets subject to the fee; and,
o time period covered by the fee.

Investment advisor representatives of PlanVest Financial have an incentive to
recommend investment products based on the compensation received rather than on a
client’s needs. However, investment advisor representatives also have a fiduciary duty
to act in a client’s best interest.
Clients have the option to purchase investment products recommended by the firm
through an entity other than PlanVest Financial.
Advisory Program Advisory Fee
All Programs Generally tiered or fixed up to 1.75%
o Account fees are payable monthly in arrears for assets held at Schwab based on the
daily average balance. For example, [Daily Average Market Value x Advisory Fee] /
12 = Billing in Arrears.
PlanVest Financial, Inc. does not use margin. The use of margin would result in a client paying
additional fees for securities bought on margin, which creates a conflict of interest.
If the advisory agreement is terminated before the end of the quarterly period, client is entitled to
a pro-rated refund of any pre-paid quarterly advisory fee based on the number of days remaining
in the quarter after the termination date. Such refunds are processed by the custodian.
Wrap Fee Program
The asset management fee charged per account is a function of a number of factors such as the
account size, complexity of holdings, expected trade volume and the overall client relationship that
goes beyond a single account. A wrap fee account may be higher to account for the ticket charges
depending on a particular client trading strategy to be as cost effective as possible, subject to the
above fee scale. Please see Appendix 1 (offered separately) for additional details.
The Supplemental Comprehensive Advisory Service (SCAS) Fee
The SCAS fee is for Advisor-provided Wealth Management and Comprehensive Advisory Services
for a recurring fixed fee payable in advance, in either a monthly or semi-annual basis. These fees are
in addition to or in lieu of the fees outlined in the AUM Fee. The advisory fee may be higher or lower
than the fee charged by other investment advisors for similar services.
The Assets Under Management (AUM) Fee
The AUM Fee which is a percentage based on the value of all assets in the account, including cash
holdings. The maximum advisory fee is negotiable up to 1.75%. The AUM advisory fee is paid to
Advisor and is shared between Advisor and its associated persons. Advisor shall not be compensated
on the basis of a share of capital gains upon or capital appreciation of the funds or any portion of the
funds of the Client.

The Hybrid Fee
The Hybrid Fee is a mix of an AUM fee and SCAS fee. This Hybrid Fee schedule is typically for
clients with lower AUM.
Financial Planning Services (Hourly or Fixed Fee)
Fees for financial planning are negotiated and charged on an hourly or fixed fee basis. The fee
will be based on the type of services to be provided, investment experience, complexity and
expertise required.
The maximum hourly fee to be charged a client will generally range from $250 up to
$400 without extenuating circumstances and approval by the Chief Compliance Officer.
Fixed planning fees generally range from $2,500 to $5,000 for a single client and $3,500
to $6,000 for a couple. Depending on the complexity of a plan, fees may be lower or
greater, if so, clients will need to agree in advance and approval from the Chief
Compliance Officer is required.
Clients may agree to pay the fee upon execution of an agreement, upon delivery of the written
financial plan, or a combination of upfront and in arrears but, such fees are generally charged
50% in advance with the remainder due upon delivery of the plan. Fees of $1,200 or more are not
charged more than six months in advance.
Third Party Advisory Fees
Fees shared will not exceed any limit imposed by a federal and/or state regulatory agency. The
exact compensation is disclosed in a separate document and is typically based on a percentage of
the investment advisory fee charged by the third-party investment adviser. Compensation

Item 7 – Types of Clients The advisory services offered by PlanVest Financial, Inc. are available for individuals, individual retirement accounts (“IRAs”), banks and thrift institutions, pension and profit-sharing plans, including plans subject to Employee Retirement Income Security Act of 1974 (“ERISA”), trusts, estates, charitable organizations, state and municipal government entities, corporations and other business entities. However, the firm generally provides investment advice to individuals and high net worth individuals.
