Item 5 – Fees and Compensation
Compensation
SimpleVisor assesses an annual management fee of 0.75% of the market value of the assets in each
account (“AUM”) for passive model portfolios and 1.00% of the AUM for active model portfolios
offered through the Advisory Platform (“Advisory Fee(s)”) and paid quarterly in advance. The
Advisory Fee is computed by multiplying the respective fee percentage by the AUM as of the close
of trading on the last business day of prior quarter, and then divided by 4.
Additionally, SimpleVisor has agreed to pay Clarity an annual fee of .30% of the AUM for its back-
office services provided to the client accounts (“Back-Office Fee”). The Back-Office Fee will be
paid by SimpleVisor out of the Advisory Fees paid directly to SimpleVisor by its clients. As a result,
the payment of the Back-Office Fee by SimpleVisor will not result in any additional cost to the
client.
Transaction Costs
Our fees are exclusive of brokerage commissions, transaction fees, and other related costs and
expenses which shall be incurred by the client. Clients may incur certain charges imposed by
custodians, brokers, third party investment and other third parties such as fees charged by
managers, custodial fees, deferred sales charges, odd-lot differentials, transfer taxes, wire transfer
and electronic fund fees, and other fees and taxes on brokerage accounts and securities
transactions. Exchange traded funds also charge internal management fees, which are disclosed in
a fund’s prospectus. See also “Brokerage Practices and Referral Arrangements and Other
Compensation” for a description of additional compensation received by SimpleVisor and for a

description of factors that SimpleVisor considers in utilizing broker-dealers for client transactions
and determining the reasonableness of their compensation (e.g., commissions).
Termination
The relationship between parties may be terminated by either party upon 30 days’ written notice.
If the relationship is terminated in the middle of a quarter and client has prepaid the quarterly fee,
SimpleVisor will reimburse client a percentage of the prepaid management fee that equals that part
of the quarter that remains after the 30-day notice is satisfied, on a pro rata basis. If the Account is
to be liquidated as the result of a termination notice, the parties understand that the process of
liquidation can take up to five (5) trading days following the date SimpleVisor received the
liquidation request. The Client shall be responsible for model portfolio platform fees and
management fees up to and including the effective date of termination. |

Item 7 – Types of Clients
We offer portfolio management investment advice to the following types of clients:
• Individuals
• Families
• High net worth individuals
• High net worth families
Account Minimum Requirements
SimpleVisor imposes a minimum size of $10,000 for establishing a relationship.
Digital Platform and Utilization of Models
SimpleVisor ’s online digital advisory platform was designed to match a client’s risk profile and
objectives to a model portfolio. The client’s model portfolio incorporates the return and risk
assumptions from information provided by the client. The model portfolios seek to achieve
diversification and risk adjusted returns by constructing models that have potential exposure to
various investment strategies across major sub-asset classes.
The model portfolios on the digital advisory platform are composed of securities for which the
underlying securities and weightings of those securities are associated with particular allocations.
The model portfolios are composed of publicly traded ETFs and is intended to satisfy a broad set
of potential client financial goals, including but not limited to maximizing returns, minimizing
investment costs, limiting volatility, and diversifying investments. SimpleVisor makes available
these model portfolios to retail clients.

Client Relationship
Potential clients evaluating RIA Advisors’ on-line investment advisory service should be aware
that RIA Advisors’ relationship with clients is likely to be different from “traditional” investment
advisory relationship in several aspects, including:
• RIA Advisors is an online-based investment adviser which means each client must
acknowledge their ability and willingness to conduct their relationship with RIA Advisors
on an electronic basis. Under the terms of the Client Agreement, each Client agrees to
receive all account information and account documents (including this Form ADV Part 2A
Brochure), and any updates or changes to same, through their access to the Advisory
Platform and RIA Advisors’ electronic communications. Unless noted otherwise on the
Advisory Platform or within this Brochure, RIA Advisers’ investment advisory services,
the signature for the Client Agreement, and all documentation related to the advisory
services are managed electronically.
• To provide its investment advisory services, RIA Advisor’s digital platform collects
information from each client, including specific information about their investing profile
such as financial situation, investment experience, and investment objectives and does not
get involved in a client’s personal situation, such as taxes and retirement or estate planning.
RIA Advisors maintains this information in strict confidence subject to its Privacy Policy,
which is provided on the digital advisory platform.
• SimpleVisor assumes no responsibility to its clients for any tax consequences of any
transaction, including any capital gains that may result from the rebalancing of client
accounts.
• As comprehensive as the risk tolerance questionnaire attempts to be in capturing all
relevant data regarding a client’s investment profile there may be items the questionnaire
does not address and the model itself may have design errors that do not fully capture what
you may deem to be the optimal portfolio. As a result, the recommended model portfolio
may not be the optimal portfolio for the client. |
