Item 5 – Fees and Compensation Delta Capital will charge you a performance fee of 15% to 20% for any of the investment gains made in your account over the prior month (depending on the initial amount invested). If you do not make money- neither do we! (This does not include costs that you may have to pay to custodians and other vendors.) Asset Management services are provided on either a discretionary or non-discretionary basis, as authorized by the client through the execution of each respective agreement. In the case of non-discretionary services, the client must consent to each recommended securities transaction. In addition, Delta may charge a relatively minor fee either as a flat fee percentage or a flat fee dollar amount for certain non-discretionary accounts to cover the administrative and overhead expenses associated with servicing those accounts outside of its discretionary management services. Please also note that unless otherwise stipulated, Delta Capital will typically agree to pay the maintenance fee charged by the Custodian (TastyTrade) for maintaining custody of the security(ies) held in non-discretionary accounts. For more detailed information regarding the firm’s advisory fees, please reach out to Delta or your Delta financial advisor. The respective fees for Delta’s discretionary services are as follows: Personal Wealth Management Financial planning services – Delta financial planning services may be included as courtesy, free of charge, as the initial steps before the client decides to work with us. Portfolio management for individuals – The fee schedule for Delta’s retail services is dependent upon the scope of each client engagement. Delta generally recommends that a client engages Delta for services which meet their individual situation, however clients may choose to engage Delta for the services of their choosing. Delta fees are calculated and billed monthly at the end of each calendar business month, after results are calculated. Most clients authorize the custodian to deduct fees automatically from their taxable brokerage accounts through a LTA (Limited Trading Authorization) form. For certain Delta clients, the firm will use a flat or fixed fee schedule, which is often influenced by the scope of the engagement, AUM and the services provided. In addition to Delta’s investment management fees, clients bear trading costs and custodial fees to be deducted directly from Tasty Trade and/or Apex Clearing (the custodians). To the extent that a client’s account is invested in mutual funds or other investment companies such as electronically traded funds (“ETFs”), these funds charge a separate layer of management, trading, and administrative expenses. |

Delta provides investment advisory services to clients who meet the standard of a “qualified clients” under
Rule 205-3 of the Investment Advisers Act of 1940.
• Client has at least $1.1 million in assets under management with Delta immediately after entering
into an advisory contract; or
• Client has a net worth (together, in the case of a client that is a natural person, with assets held
jointly with a spouse) that Delta reasonably believes to be in excess of $2.2 million immediately
prior to the Client’s initial investment.
Delta requires a minimum account size of $300,000 to open a portfolio. |
