Item 5 Fees and Compensation
Portfolio Management Services
Our standard fee for portfolio management services is based on a percentage of the assets in your
account and is set forth in the following annual fee schedule:

Our annual portfolio management fee may be calculated, billed and charged, quarterly in advance,
based on the balance at the end of billing period, or may be calculated, billed and charged monthly or
quarterly in arrears using the average daily balance of assets in the account. If calculated quarterly in
advance, we may prorate for incoming or outgoing cash flows. The specific methodology will be
determined by the agreement signed by you.

Our advisory fee is negotiable, depending on individual client circumstances, size of the account, asset
allocation, and the scope of the engagement.

At our discretion, we may combine the account values of family members living in the same household
to determine the applicable advisory fee. For example, we may combine account values for you and
your minor children, joint accounts with your spouse, and other types of related accounts. Combining
account values may increase the asset total, which may result in your paying a reduced advisory fee
based on the available breakpoints in our fee schedule stated above.

We will send you an invoice for the payment of our advisory fee, or we will deduct our fee directly from
your account through the qualified custodian holding your funds and securities. We will deduct our
advisory fee only when you have given our firm written authorization permitting the fees to be paid
directly from your account. Further, the qualified custodian will deliver an account statement to you at
least quarterly. These account statements will show all disbursements from your account. You should
review all statements for accuracy.

You may terminate the portfolio management agreement upon written notice. You will incur a pro rata
charge for services rendered prior to the termination of the portfolio management agreement, which
means you will incur advisory fees only in proportion to the number of days in the quarter for which you
are a client. If you have pre-paid advisory fees that we have not yet earned, you will receive a prorated
refund of those fees.

Financial Planning Services
We charge a fixed fee for financial planning services, which generally ranges from $2000 - $5000. The
first half of the estimated fee is due in advance of services rendered with the remaining balance
payable upon completion of the contracted services. The fee is negotiable depending upon the
complexity and scope of the plan, your financial situation, and your objectives. We do not require you
to pay fees six or more months in advance. Should the engagement last longer than six months
between acceptance of financial planning agreement and delivery of the financial plan, any prepaid
unearned fees will be promptly returned to you less a pro rata charge for bona fide financial planning
services rendered to date.

We charge an hourly fee of $250 for financial planning services, which is negotiable depending on the
scope and complexity of the plan, your situation, and your financial objectives. An estimate of the total
time/cost will be determined at the start of the advisory relationship. In limited circumstances, the
cost/time could potentially exceed the initial estimate. In such cases, we will notify you and request that
you approve the additional fee.

We also offer advice on single subject financial planning/general consulting services at the same
hourly rate.

We require that you pay 50% of the fee in advance and the remaining portion upon the completion of
the services rendered.

We will not require prepayment of a fee more than six months in advance and in excess of $1,200.

At our discretion, we may offset our financial planning fees to the extent you implement the financial
plan through our Portfolio Management Service.

You may terminate the financial planning agreement upon written notice to our firm. If you have pre-
paid financial planning fees that we have not yet earned, you will receive a prorated refund of those
fees. If financial planning fees are payable in arrears, you will be responsible for a prorated fee based
on services performed prior to termination of the financial planning agreement.

Sub-Advisory Services for Registered Investment Advisers
Fees and payment arrangements are negotiable and will be reviewed annually between the firm and
the Primary Investment Adviser. Persons providing sub-advisory services on behalf of our firm may
also be registered as Investment Adviser Representatives of the Primary Investment Advisor. This
creates a conflict of interest as persons of our firm, on occasion, may also provide investment advisory
services to clients of the Primary Investment Adviser which is separate and distinct from the sub-
advisory services agreement between our firm and the Primary Investment Advisor. To mitigate this
conflict of interest, our firm will provide a separate disclosure acknowledgement to the clients of the
Primary Investment Adviser detailing the nature of the relationship including compensation for such
services and fiduciary responsibilities.

Item 7 Types of Clients
We offer investment advisory services to individuals (other than high-net-worth individuals), high-net-
worth individuals, charitable organizations, corporations or other businesses not listed above and other
investment advisers.

In general, we require a minimum of $100,000 to open and maintain an advisory account. At our
discretion, we may waive this minimum account size. For example, we may waive the minimum if you
appear to have significant potential for increasing your assets under our management.

We charge a minimum ["annual"] fee in the amount of 0.75% to open and maintain an advisory
account. At our discretion we may modify or waive the minimum fee.

We may also combine account values for you and your minor children, joint accounts with your
spouse, and other types of related accounts to meet the stated minimum.
