Item 5: Fees and Compensation
Method of Compensation and Fee Schedule
STRUCTURED NOTES
When managing structured notes, Secure Wealth charges a flat 2% annual fee based on the
value of the note. The fee will be charged based on end of month balance, and it will be .167%
a month of AUM. The fee will be based on the market value of the structured notes, plus
prorated flow adjustments, and will not be contingent on positive or negative performance.
(Invoices will include all securities holdings and cash held at the custodian but will be
excluded from billing.)
Below is an example fee schedule.

The annual fee may be negotiable. Accounts within the same household may be combined for
a reduced fee. Fees are billed monthly in arrears.
Lower fees for comparable services may be available from other sources. Fees for asset
management services are deducted from a designated Client account to facilitate billing.
Please see Item 15 for more information regarding direct deduction of fees from client’s
accounts.
Clients may terminate their account within five (5) business days of signing the Investment
Advisory Agreement with no fee and without penalty. After five days of signing the
agreement, Clients may cancel by providing written notice to Secure Wealth and Secure
Wealth may terminate advisory services with thirty (30) days written notice to the Client. For
accounts opened or closed mid-billing period, fees will be prorated based on the days
services are provided during the given period. All unpaid earned fees will be due to Secure
Wealth. Client shall be given thirty (30) days prior written notice of any increase in fees. Any
increase in fees will be acknowledged in writing by both parties before any increase in said
fees occurs.
This Agreement shall become effective on the date written on the Agreement and shall
continue in effect until terminated. This agreement may be terminated by Secure Wealth with
thirty (30) days written notice to Client or by Client at any time with written notice to Secure
Wealth. Clients will be responsible for investment advisory fees up to and including the
effective date of termination.
Performance-Based Portfolio Management Fees

Qualified Clients will pay an annual fee of 0% of assets under management along with a 60%
performance fee based on capital appreciation. If the portfolio rises in value, then the client
will pay 60% on that increase in value, but if the portfolio drops in value, then the client will
not incur a new performance fee until the portfolio reaches the last highest value, adjusted
for withdrawals and deposits, which is generally known as a “high water mark.”
The performance fee is also contingent upon returns for the applicable client account(s)
exceeding a certain threshold; this is known as a hurdle rate. Specifically, performance fees
are only assessed on returns (capital appreciation, including dividends and interest, but net
of Secure Wealth’s advisory fee) greater than 12% per year. Custodial fees, transaction fees,
and certain other third-party fees are assessed to the client, and are not a reduction of returns
for the purposes of the hurdle rate. The hurdle is otherwise pre-tax.
Performance-based fees are withdrawn directly from the client’s accounts with client’s
written authorization. Fees are paid monthly.
In general, a “Qualified Client” is:
(1) a natural person or company who at the time of entering into such agreement has at
least $1,100,000 under the management of the investment adviser;
(2) a natural person or company who the adviser reasonably believes at the time of entering
into the contract: (A) has a net worth of jointly with his or her spouse of more than
$2,200,000 excluding the value of the client’s primary residence; or (B) is a qualified
purchaser as defined in the Investment Company Act of 1940, §2(a)(51)(A) (15 U.S.C.
80a-2(51)(A)); or
(3) a natural person who at the time of entering into the contract is: (A) An executive officer,
director, trustee, general partner, or person serving in similar capacity of the investment
adviser; or (B) An employee of the investment adviser (other than an employee
performing solely clerical, secretarial, or administrative functions with regard to the
investment adviser), who, in connection with his or her regular functions or duties,
participates in the investment activities of such investment adviser, provided that such
employee has been performing such functions and duties for or on behalf of the
investment adviser, or substantially similar function or duties for or on behalf of another
company for at least 12 months.
Additional Client Fees Charged
Custodians may charge transaction fees on purchases or sales of certain mutual funds,
equities, and exchange-traded funds. Mutual funds, money market funds and exchange
traded funds also charge internal management fees, which are disclosed in the fund’s
prospectus. Secure Wealth does not receive any compensation from these fees. All of these
fees are in addition to the management fee you pay to Secure Wealth. For more details on the
brokerage practices, see Item 12 of this brochure.
