ITEM 5: FEES AND COMPENSATION

General Overview of Fee Calculation and Disclosure
At William Joseph Capital Management, Inc. (WJCM), we believe in transparency and clarity when it comes to
our fees and compensation. Here is a general overview of how our fees are calculated and disclosed. Fees may
be calculated using various methods, including:

   •   End‑of‑quarter balance

   •   Beginning‑of‑quarter balance
   •   Average daily balance
   •   Average monthly balance

We provide full disclosure of all fees and compensation to clients prior to entering into an advisory relationship.
This includes:

   •   A detailed fee schedule
   •   Custodian, platform, and sub‑advisor fees
   •   Billing frequency and calculation method

Example: Before you engage us for advisory services, you will receive a fee schedule outlining advisory fees,
calculation methods, and billing frequency. You will also sign a client agreement that includes the specific fees
and terms.

Termination of Account
If you close an account, fees are prorated based on the number of days in the quarter for which services were
provided. If fees were billed in advance, you will receive a prorated refund. Custodians may charge termination
fees; WJCM does not receive any portion of these fees.

Advisory Services Fees
Fees are negotiated based on account size, relationship, and services provided. Generally, fees range between
0.60% and 1.35% annually, billed quarterly.

Example: A $500,000 account billed at 1% annually would incur $5,000 per year, billed quarterly at $1,250.

Custom Management Fees
Fees are negotiable based on complexity and may be billed in advance or arrears. Fees may include accrued
income.

Wealth Management Fees

Wealth Management Services combine investment management and financial planning. Financial planning is
included unless the scope requires additional hourly fees, agreed upon in advance.

Employee-Sponsored Plans Fees

Fees for ERISA plan services are negotiable and may be billed in advance or arrears.

Co-Advisory and Sub-Advisor Programs Fees
Fees vary by program and are disclosed in the co-advisor's brochure. Fees may be charged in advance or arrears
and may include accrued income.

Other Fees and Expenses
Clients may incur additional fees such as:

   •   Brokerage commissions
   •   Transaction fees
   •   Mutual fund expenses
   •   Custodian fees

These fees are not shared with WJCM.

Financial Planning and Consulting Fees
1. Fixed Fees

Fixed fees are charged for comprehensive financial plans or specific analyses. Fees vary based on complexity
and are disclosed in the Financial Planning Agreement.

2. Hourly Fees

Hourly fees apply to ongoing planning or consulting services. Rates are negotiable and disclosed in the
Financial Planning Agreement.

Additional Considerations

   •   Fees are negotiable based on client needs
   •   Scope of work is defined in the Financial Planning Agreement
   •   WJCM does not require prepayment of fees six months or more in advance

DPL Membership Fee

WJCM pays an annual membership fee to DPL Financial Partners (“DPL”) to access fee‑based annuity and
insurance comparison tools, product illustrations, and administrative support.

   •   This fee is paid by the Firm, not by clients.

   •   WJCM does not receive compensation from DPL or its affiliate, Johnstone Brokerage Services (“JBS”).

This relationship may create a conflict of interest because the Firm may be more inclined to consider products
available through DPL.

Insurance‑Related Compensation Through Affiliated Entity

Insurance activities are conducted through William Joseph Insurance, LLC (“WJI”), a separate but affiliated
insurance entity.

   •   WJI receives a 1% marketing override from The Producers Firm (“TPF”) based on override
       commissions generated from insurance business written by Firm‑designated advisors.
   •   This compensation is not shared with the RIA and does not affect advisory fees.
   •   This arrangement creates a conflict of interest because the affiliated insurance entity may benefit when
       advisors place insurance business through TPF.
