Item 5 - Fees and Compensation

The following section outlines Verecan Capital Management Inc.’s compensation structure,
including our standard advisory fee schedule, billing practices, third-party expenses, termination
rights, and client protections.

A. Fee Schedule

Asset Based Fees

Our typical advisory fee is structured as an annual, asset-based fee calculated as a percentage of
assets under management (AUM). The current standard schedule for assets held at Charles
Schwab is:

   •   1.0% on assets up to $2,000,000
   •   0.8% on assets from $2,000,001 to $5,000,000
   •   0.6% on assets over $5,000,001

The current standard schedule for assets held at Fidelity Clearing Canada is:

   •   1.5% on assets up to $500,000
   •   1.25% on assets from $500,001 to $1,000,000
   •   1.00% on assets from $1,000,001 to $1,000,000,000

This schedule is tiered, and fees may be negotiated based on the size and complexity of the client
relationship or other relevant factors.

We reserve the right to modify or increase our standard fees in the future. Any such changes will
be communicated in advance and implemented only after proper notice and, if required, client
consent.

B. Payment of Fees

Asset-based fees are charged monthly in arrears calculated based upon the average ending
market value of the account, daily, throughout the month, or as otherwise indicated in the client
agreement. The client must consent in advance to direct debiting of their investment account. If
the client agreement is executed at any time other than the first day of a calendar month, our fees
will apply on a pro rata basis, which means that the advisory fee is payable in proportion to the
number of days in the month for which you are a client.

C. Third Party Fees

In addition to the advisory fees paid to Verecan Capital Management Inc., clients may incur
other fees and expenses in connection with the management of their accounts.
These may include, but are not limited to:

   •   Custodial fees, such as account maintenance, wire transfers, account transfers, or
       termination fees, charged by the qualified custodian
   •   Brokerage and transaction costs, such as commissions or markups, where applicable (see

Verecan Capital Management Inc. provides investment advisory services to a wide range of
clients, including:
    • Individuals and high net worth individuals
    • Trusts and estates

     •   Corporations and business entities
     •   Charitable organizations and foundations
     •   Other institutions and entities

We tailor our investment strategies to meet the specific objectives and circumstances of each
client type.

Verecan Capital Management Inc. does not currently impose a minimum account size
requirement to establish or maintain an advisory relationship. However, we evaluate each
prospective client relationship individually to determine whether our services are a good fit
based on the scope, complexity, and nature of the engagement. We may decline to enter into an
advisory agreement if we determine that a potential client’s circumstances fall outside our areas
of expertise or if we believe we cannot provide meaningful, conflict-free advice under our
service model.
