Fees and Compensation

Financial Planning
Aventus Advisors’ negotiable fixed fee for financial planning services generally ranges between
$1,000 and $20,000 depending upon the complexity and scope of the plan, the Client’s financial
situation and the Client’s objectives. Fees are due upon completion of services rendered. Under
no circumstances will Aventus Advisors require prepayment of a fee more than six months in
advance and in excess of $500.

Portfolio Management
The annual fee for portfolio management services is billed and payable quarterly. New clients
pay portfolio management fees in advance based on the beginning value of the Client’s
account(s) each quarter. Some existing clients pay fees in arrears based upon the ending value of
the Client’s account(s) each quarter. Fees will be assessed pro rata in the event the portfolio
management agreement is executed at any time other than the first day of a calendar quarter.
Aventus Advisors’ annualized fee for portfolio management services will be stated in the Client’s
Investment Advisory Agreement. Fees are negotiable. Our annualized fee schedule is shown
below.

Aventus Advisors, in its sole discretion, may waive, negotiate, and/or charge a lesser investment
advisory fee based upon certain criteria (e.g., historical relationship, type of assets, anticipated
future additional assets, dollar amounts of assets to be managed, related accounts, account
composition, negotiations with clients, etc.).

At its discretion, Aventus Advisors may allow accounts of members of the same household to be
aggregated for purposes of determining the advisory fee. Aventus Advisors may allow such
aggregation, for example, where Aventus Advisors services accounts on behalf of minor children
of current Clients, individual and joint accounts for a spouse, and other types of related accounts.
This consolidation practice is designed to allow Clients the benefit of an increased asset total,
which could potentially cause the accounts to be assessed a reduced advisory fee based on the
breakpoints available in Aventus Advisors’ fee schedule as stated above.

Tax Preparation Assistance
A fee is charged for tax preparation assistance services which is in addition to any portfolio
management fees. Aventus Advisors, in its sole discretion, may waive tax preparation fees based
upon certain criteria (e.g., complexity of the return, historical relationship, type of assets,
anticipated future additional assets, dollar amounts of assets to be managed, related accounts,
account composition, negotiations with clients, etc.).

Estate Planning Assistance
We may charge a fee for helping clients with preparing their estate plans. Fees are determined
based on the overall client relationship, the complexity of the plan, and the attorney partner we
work with, amongst other things.

Billing Process
Payment of fees will be made by the custodian holding the Client’s funds and securities provided
that the following requirements are met:
  • The Client provides written authorization permitting the fees to be paid directly from the
       Client’s account held by the custodian. Aventus Advisors does not have access to Client
       funds for payment of fees without Client consent in writing.

 •   Aventus Advisors sends the Client an invoice showing the amount of the fee, the value of
     the assets on which the fee is based, and the specific manner in which the fee was
     calculated.
 •   The custodian sends the Client a statement, at least quarterly, indicating all amounts
     dispersed from the account including the amount of the advisory fee paid directly to
     Aventus Advisors.

If the advisory contract is terminated before the last day of the quarter, Aventus Advisors will
refund to the Client any unused fees by calculating the average daily fee and adjusting for the
number of days left in the quarter, to arrive at the full refund amount.

The fees charged are calculated as described above and are not charged on the basis of a share
of capital gains upon, or capital appreciation of, the funds, or any portion of the funds of an
advisory Client (15 U.S.C. §80b-5(5)(1)).

General Information on Third-Party Fees
Clients are hereby advised that all fees paid to Aventus Advisors for investment advisory services
are separate and distinct from the fees and expenses charged by third-parties, such as custodians
and/or mutual funds. Examples include transaction fees, custodial fees, wire transfer fees, and
charges imposed directly by a mutual fund or exchange-traded fund purchased for the account
(disclosed in the fund’s prospectus). The Client should review all fees charged by mutual funds,
Aventus Advisors, and others to fully understand the total amount of fees to be paid by the Client.
Refer to the Brokerage Practices section below for additional information.

Alternative Investments
We charge fees for the evaluation of alternative investments for our clients. Our fees for this
service is typically $300/hour but may be waived if clients are paying for other financial planning
or portfolio management services.

General Consulting
Aventus Advisors provides general consulting services from time to time. These services are
generally separate from financial planning and portfolio management services and are

Types of Clients
Aventus Advisors offers investment advisory services to individuals, trusts, estates, educational
institutions, municipalities, charitable organizations, and businesses. Our typical client has
investable assets in excess of $500,000, but this minimum is subject to review based on the
overall relationship with the client.

Methods of Analysis, Investment Strategies, and Risk of Loss
Aventus Advisors’ investment analysis and investment strategies are focused on identifying those
investments which provide the best combination of return and risk for the Client or a Client’s
specific account. Beginning with the planning process, our goal is to identify the timing and risk
tolerance of each Client and identify the specific investments which will allow the Client the best
chance of reaching their goals given current and expected economic and market conditions.

We focus on uncovering global macroeconomic trends which drive supply and demand of
products and services on a global basis. These trends provide guidance as to the relative value of
various markets and sectors and insight into which securities could be valuable investments. We
combine our trend analysis with detailed fundamental analysis to help us identify companies,
industries, countries, and sectors with compelling financial characteristics.

Throughout our investment process, we review numerous sources of information: financial
newspapers and magazines; research materials prepared by others; corporate rating services;
annual reports, prospectuses, and filings with the SEC.

Generally, and when appropriate for the Client and account, Aventus Advisors seeks to invest in
long term securities with a 12+ month time horizon, both to realize preferable tax rates on long‐
term capital gains and to manage trading expenses. We may sell securities that meet our
appreciation objectives or experience unfavorable fundamental or technical developments in
shorter time spans. Our principal focus is to invest our clients’ funds to achieve long‐term capital
appreciation.

From time to time, and where suitable to client circumstances and preferences, we may use short
term purchases (securities sold within a year), trading, short sales, and option writing which can
include covered options, uncovered options or spreading strategies.

Investments that are reviewed and included in client portfolios may include US and non-US
equities, US and non-US bonds, ETFs, mutual funds, MLPs, annuities, futures and options.

All investment strategies, including those used by Aventus Advisors, face the risk of loss; clients
should be prepared to bear such risks and losses should they occur. Our financial planning process
looks to identify the risk tolerance of Clients and individual Client accounts, and we strive to
minimize risk whenever possible. However, we can provide no assurances that losses will not
occur or that Client goals will be met.

Specific risks that you should be aware of include:
       • Equity Investments: The prices of equity investments can be very volatile, due to
           conditions related to the company or due to market conditions. As such, equity
           investments are not suitable for short term investment horizons and may not be
           suitable for Clients with a low risk tolerance.
       • Fixed Income Investments: The prices of fixed income investments can experience
           volatility due to changing interest rates, the perceived credit quality of the issuer, and
           market conditions, among other things.
       • Non US Securities: In addition to the risks mentioned above, non-US securities can have
           volatile prices due to currency fluctuations, political risks, and changes in rules and
           regulations that may be adversarial to foreign investors.
       • Mutual Funds and ETFs: The prices of mutual funds and ETFs are subject to the success
           of the mutual fund manager(s) or the ability of the mutual funds or ETF to track its
           designated index. These investments are also subject to the same risks as the
           underlying equity or fixed income investments that they are invested in or tracking.
       • MLPs, Annuities, Futures and Options: The prices of MLPs, futures and options can be
           volatile due to the nature of the underlying investments. Annuities can be subject to
           the credit risk of the issuer, among other things.

Disciplinary Action
There are no current or historical disciplinary issues with the Firm or its employees.

Other Financial Industry Activities and Affiliations
Aventus Advisors provides sub-adviser services to other investment advisers. For a fee, Aventus
Advisors will assist investment advisers in portfolio construction for their clients or managed
accounts.

Code of Ethics, Participation or Interest in Client Transactions and Personal Trading
The Aventus Advisors’ Code of Ethics must be read and agreed to by each employee. The Code
of Ethics clearly requires each employee to focus on making the client the priority in everything
we do. Aventus Advisors’ Code of Ethics requires each employee to comply with all applicable
laws and regulations governing its practice. We have intended to set high standards with the
intent to protect Client interests at all times and to demonstrate the commitment to each
employees’ fiduciary duties of honesty, good faith and fair dealing with Clients. All associated
persons are expected to adhere strictly to these guidelines, as well as any procedures for approval
and reporting established in the Code of Ethics primarily related to violations of the Code. In
addition, Aventus Advisors maintains and enforces written policies reasonably designed to
prevent the misuse of material non-public information by Aventus Advisors or any person
associated with Aventus Advisors.
