Fees and other charges

Portfolio Management Fees
Portfolio management fees are individually negotiated with each client, are based on a percentage of
assets under management, including cash, and are generally subject to a maximum fee of 2%,
depending on the level of engagement. In some cases when agreed upon, CGW may impose a
minimum flat fee which will not exceed the maximum fee of 2% referenced above. The actual fee
charged to a particular client is disclosed in the investment advisory agreement entered into between
CGW and each client. Factors considered in determining the fees charged generally include but are not
limited to the complexity of the client’s portfolio; assets to be placed under management; anticipated

future assets; related accounts; portfolio style; account composition; or other special circumstances or
requirements. This investment advisory fee generally is deducted directly from each client’s account.

All asset-based fees are deducted by the qualified custodian of record on a quarterly basis in advance, or
as otherwise indicated in the client agreement. Client statements for prior deductions will be provided
on a quarterly basis. Deposits received mid-quarter will be charged in advance on a pro- rata basis.

All fees paid to CGW for investment advisory services will include the expenses charged by third-party
managers. These fees and expenses are described to the client in separate disclosures when the third-
party manager is selected for each client.

CGW will provide portfolio management services but will not provide custodial or other administrative
services. At no time will CGW accept or maintain custody of a client’s funds or securities except for
authorized fee deduction. The Client may contact the Custodian directly for disbursements, or account
record changes, and may also do so in writing to the custodian. CGW may act at the client’s convenience
to facilitate such written communications to the Custodian, provided that such action is not construed to
be custody of client assets.

Unless enrolled in the wrap free program described in earlier sections, the client is responsible for all
custodial and securities execution fees charged by the custodian and executing broker dealer. Fees paid
to CGW are separate and distinct from the custodian and execution fees.

Clients may request to terminate their advisory contract with CGW, as a whole or in part, by providing
advance written notice. Upon termination, any fees paid in advance will be prorated to the date of
termination and any excess will be refunded to client through the Custodian. Client’s advisory agreement
with CGW is non-transferable without Client’s written approval.

Financial Planning Fees
We charge a fixed fee for financial planning services. The exact fixed fees for financial planning
services offered by the firm will be determined in advance based on the agreement between the client
and the firm and based on the information provided by the client at that time or the complexity of the
plan. Fees generally range up to $1500. We reserve the right to charge hourly fees on top of the
financial planning fee depending on the complexity of the plan. Fees may be waived or reduced at
CGWs discretion.

Fixed fees billed 50% (negotiable) in signing of the agreement and the other 50% is due at the end of the
services.

AMS Managed Program
When you participate in one of the AMS Managed Programs, you are assessed an all-inclusive wrap fee
for advisory and brokerage services. Under a wrap fee arrangement, you pay an annual asset-based fee,
which is calculated as a percentage of assets under management in the account. The fee includes
compensation paid to CGW, the nonaffiliated Manager, and to RJA for trade execution, custodial
services, trade clearance, investment advisory and administrative services. While the allocation of the
fee between any of these persons may change at any time without your consent, the total fee percentage
charged to your account will not increase without your consent. Investment advisory fees are paid
quarterly, in advance of each quarter. The total Investment advisory fee for the AMS Managed wrap fee

program ranges from 0.75% - 2% annually and is based on the market value of assets under management
in your account, as valued by the custodian and will be directly debited from your account

Retirement Plan Consulting Fees
In connection with its retirement plan consulting services, the Adviser charges annual asset-based fees
in accordance with the annual fees described above. Negotiated fees are generally based on the value of
the plan’s assets and the complexity of the plan. Fees are normally debited directly from client
account(s), unless other arrangements are made. Fees charged for retirement plan consulting services
may be charged in advance or arrears. Specific information regarding fee billing will be set forth in the
investment advisory agreement between the client and the Adviser.

Donor Advised Fund Fees
For Donor Advised Fund accounts, the Adviser charges an annual asset-based fee, less than the
maximum fee indicated above, which is normally debited directly from client account(s), unless other
arrangements are made. Specific information regarding fee billing will be set forth in the investment
advisory agreement between the client and the Adviser, including administrative fees charged by the
fund.

Services to Retirement and Pension Plan Participants Fees
When the Adviser provides investment advice to plan participants on a non-discretionary basis, these
fees are negotiated with each plan participant at the time of the engagement for such services and are
normally based on the scope of the engagement.

Selection of Other Advisor Fees
As described above, all fees paid to Adviser for investment advisory services will include the expenses

Item 7 Types of Clients
CGW provides investment advice to many different types of clients. These clients generally include
individuals, trusts, estates, corporations, foundations, non-profits, and other types of business entities.

Minimum Account Size

In general, CGW does require a minimum account size of $500,000. At our discretion, we reserve the
right to waive this minimum account size. We would consider waiving the minimum if you appear to
have potential for increasing your assets to meet the required minimum in the future. We typically
combine account values for you and your minor children, joint accounts with your spouse, and other
types of related accounts to meet the stated minimum.

Third-party managed programs generally have account minimum requirements, and these minimum
requirements vary from manager to manager.
