Item 5: Fees and Compensation
A. Fee Schedule
Below are the standard fees charged by RED Seven. These fees are negotiable and the final
fee schedule is attached as Exhibit I of the Investment Advisory Contract. Lower fees for
comparable services may be available from other sources.

RED Seven bills accounts based on the above table on a flat tiered system. Accounts on
the Goldman Sachs and Altruist platforms are billed monthly in arrears based on the
average daily balance in the account for the previous month and deducted directly from
the client’s accounts on or about the 10th of each month. Accounts on the Charles Schwab
and American Funds platforms are billed quarterly in arrears based on the average daily
balance in the account for the previous quarter and deducted directly from the clients
account in the month following the quarter end.
RED Seven may charge up to 1.50% management fee on multi-employer retirement plans
with no maximum annual fee From time to time RED Seven may select other platforms
for client investments.
Selection of Other Advisors Fees
RED Seven may direct clients to third-party investment advisors. RED Seven will not be
compensated via a fee share from the advisors to which it directs those clients. The notice
of termination requirement and payment of fees for third-party investment advisors will
depend on the specific third-party advisor selected.
RED Seven may specifically direct clients to third-party advisors on the Goldman Sachs
platform. Fees charged by RED Seven are shown in the above matrix. Third-party advisor
fees vary based on the third-party advisor selected and are disclosed to the client in the
advance billing notice sent to the client prior to deducting any third-party advisor fees
and will range from 0.25%-1.00% per year. These fees are in addition to the standard fee
RED Seven will charge based on the fee schedule provided above. These fees are not
negotiable.
Financial Planning Fees
Fixed Fees
The standard rate for creating client financial plans is $1,500. The fees are negotiable and
the final fee schedule will be attached as Exhibit I of the Financial Planning Agreement.
B. Payment of Fees
Payment of Portfolio Management Fees
Portfolio management fees are calculated by Goldman Sachs, Altruist, and American
Funds at the express written consent of the client. They deduct the fees from the clients’
accounts and then disburse them to RED Seven. RED Seven does not calculate these fees,
or have direct access to the clients’ accounts to deduct any fees.

For accounts on the Charles Schwab platform, fees are calculated by RED Seven based on
the average daily balance in the account for the prior quarter provided by Charles Schwab.
Red Seven requests Charles Schwab deduct fees from the clients’ account and remit to
RED Seven.
RED Seven provides the clients at Charles Schwab a detailed calculation of the fee prior
to fees being deducted from the client’s account.
Payment of Selection of Other Advisors Fees
Fees for third-party advisors at Goldman Sachs are calculated by Goldman Sachs and
deducted from the management fees paid to RED Seven. RED Seven notifies the client of
the third-party advisor fees and then requests Goldman Sachs to deduct those third-party
advisor fees from the client’s account.
The timing, frequency, and method of paying fees to the third-party advisor will depend
on the specific third-party advisor selected and will be disclosed to the client prior to
entering into a relationship with the third-party advisor.
Payment of Multi-Employer Retirement Plan Fees
Payment of plan fees for multi-employer plans are calculated and withdrawn directly
from the participants’ accounts by the Third-Party Administrator on a quarterly basis in
arrears.
Payment of Financial Planning Fees
Fixed Financial Planning fees are paid via check.
C. Clients Are Responsible For Third Party Fees
Clients are responsible for the payment of all third party fees (i.e. custodian fees,
brokerage fees, mutual fund fees, transaction fees, etc.). Those fees are separate and
distinct from the fees and expenses charged by RED Seven. Please see Item 12 of this
brochure regarding broker/custodian.
D. Prepayment of Fees
RED Seven collects its financial planning fees and portfolio management fees in arrears
only. It does not collect fees in advance.
Clients may terminate the agreement without penalty, for full refund of the advisor’s fees,
within five business days of signing the Investment Advisory Contract. Thereafter, clients
may terminate the Investment Advisory Contract with one day written notice.

E. Outside Compensation For the Sale of Securities to Clients
Neither RED Seven nor its supervised persons accept any compensation for the sale of
securities or other investment products, including asset-based sales charges or service fees
from the sale of mutual funds. |

Minimum Account Size
