Item 5 Fees and Compensation
The following paragraphs detail the fee structure and compensation methodology for services provided
by the Advisor. Each Client engaging the Advisor for services described herein shall be required to
enter into a written agreement with the Advisor.
Fees for Advisory Services
Investment Management Services
Investment advisory fees are paid quarterly, in advance of each calendar quarter, pursuant to the
terms of the Investment Advisory Agreement. Investment advisory fees are based on the market value
of assets under management at the end of the prior calendar quarter. Investment advisory fees are
based on the following schedule:
Assets Under Management ($) Annual Rate %
First $250,000 1.25%
Next $250,000 1.00%
Next $500,000 0.90%
Next $3,000,000 0.75%
Over $4,000,000 0.50%
529 plan accounts and other types of accounts (e.g., ABLE) held directly with American Funds will be
assessed a fee up to 0.50% on an annual basis. This fee is in addition to the above fee schedule. The
assets within these accounts are not considered when determining the client's AUM for purposes of
meeting breakpoints in the standard fee schedule for their other accounts.
The investment advisory fee in the first quarter of service is prorated from the inception date of the
account[s] to the end of the first quarter. Fees may be negotiable at the sole discretion of the Advisor.
The Client's fees will take into consideration the aggregate assets under management with the
Advisor. Advisor will consider aggregation of assets within a client's household. At its sole discretion,
the Advisor will grandfather clients at previously agreed upon fee schedules. All securities held in
accounts managed by RMFS will be independently valued by the Custodian. The Advisor will conduct
periodic reviews of the Custodian's valuations.
If the portfolio management agreement is executed at any time other than the first day of a calendar
quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in
proportion to the number of days in the quarter for which you are a client.
We will deduct our fee directly from your account through the qualified custodian holding your funds
and securities. We will deduct our advisory fee only when you have given our firm written authorization
permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an
account statement to you at least quarterly. These account statements will show all disbursements
from your account. You should review all statements for accuracy.
Either party may terminate the Investment Advisory Agreement, at any time, by providing advance
written notice to the other party. You will incur a pro rata charge for services rendered prior to the
termination of the portfolio management agreement, which means you will incur advisory fees only in
proportion to the number of days in the quarter for which you are a client. If you have pre-paid advisory
fees that we have not yet earned, you will receive a prorated refund of those fees.
The Client may also terminate the Investment Advisory Agreement within five (5) business days of
signing the Advisor's agreement at no cost to the Client. After the five-day period, the Client will incur
charges for advisory services rendered to the point of termination and such fees will be due and
payable by the Client. The Advisor will refund any unearned, prepaid investment advisory fees from the
effective date of termination to the end of the quarter. The Client's Investment Advisory Agreement with
the Advisor is non- transferable without the Client's prior consent.
Special Purpose Account Option
Clients may request a Special Purpose Account to meet their short-term liquidity needs, subject to
Advisor approval. A Special Purpose account will be billed at a reduced rate of 0.50% (regardless of
the value of the account) and investments in such accounts are limited to money market mutual funds
and cash only. The assets within these accounts are not considered when determining the client(s)
AUM for purposes of meeting breakpoints in the standard fee schedule for their other accounts.
The Advisor's fee is exclusive of, and in addition to, any applicable securities transaction and custody
fees, and other related costs and expenses described below under Other Fees and Expenses, which
may be incurred by the Client. However, the Advisor shall not receive any portion of these
commissions, fees, and costs.
Financial Planning Services
RMFS offers financial planning services either on an hourly basis or a fixed fee. Hourly fees are billed
at a rate of $250. Fixed fee engagements are negotiated based on the expected hours to complete the
engagement at the Advisor's hourly rate. An estimate for total hours and/or total costs will be provided
to the Client prior to engaging for these services. At our discretion, we may offset our financial
planning fees to the extent you implement the financial plan through our Investment Management
Service.
Financial planning fees are invoiced by the Advisor and are due upon completion of the agreed upon
deliverable[s] per the agreement.
Pension consulting
Advisory fees for pension consulting services are up to 1% and paid quarterly in arrears pursuant to
the terms of the advisory agreement.
Other Fees and Expenses
Clients may incur certain fees or charges imposed by third parties, other than RMFS, in connection
with investments made on behalf of the Client's account[s]. The Client is responsible for all securities
execution and custody fees charged by the Custodian if applicable. The Advisor's recommended
