Item 5 Fees and Compensation Portfolio Management Services Portfolio management fees are individually negotiated with each client and are generally up to 2% of the market value of assets in the account calculated annually. Factors considered in determining the fees charged generally include but are not limited to: the complexity of the client's portfolio; assets to be placed under management; anticipated future assets; related accounts; portfolio style; account composition; or other special circumstances or requirements. The specific fee schedule will be identified in the advisory agreement between the client and us. Portfolio management fees are generally payable quarterly, in advance, based on the average daily balance of the account(s) during the period. If the portfolio management agreement is executed at any time other than the first day of a calendar quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in proportion to the number of days in the quarter for which you are a client. We will deduct our fee directly from your account through the qualified custodian holding your funds and securities. We will deduct our advisory fee only when you have given our firm written authorization permitting the fees to be paid directly from your account. Further, our qualified custodian, will deliver an account statement to you at least quarterly. These account statements will show all disbursements from your account. You should review all statements for accuracy. Either we or the client may terminate their investment advisory agreement at any time, subject to written notification requirements in the investment advisory agreement. In the event of termination, any paid but unearned fees will be promptly refunded to the client based on the number of days that the account was managed, and any fees due to us from the client will be invoiced or deducted from the client's account prior to termination. Assets in each of your account(s) are included in the fee assessment unless specifically identified in writing for exclusion. At our discretion, we may, and customarily do, combine the account values of family members living in the same household to determine the applicable advisory fee. For example, we may combine account values for you and your minor children, joint accounts with your spouse, and other types of related accounts. Combining account values may increase the asset total, which may result in your paying a reduced advisory fee based on the available breakpoints in our fee schedule stated above. Wrap Program Fees Fees for clients participating in the Wrap Program are charged in accordance with the annual fees described above. With respect to clients participating in the Wrap Program, we generally receive the total fee charged less the amounts paid by us for all transaction and execution expenses. Please see the Wrap Program Brochure (Appendix 1) for further details on the Wrap Program fees. Financial Planning Services We charge a fixed fee for financial planning services, which generally ranges between $250 and $30,000 and will be documented in a financial planning agreement between you and us. The fee is negotiable depending upon the complexity and scope of the plan, your financial situation, and your objectives. Our financial planning fees are negotiable and payable in advance of services rendered. We will not require prepayment of a fee more than six months in advance and in excess of $1,200. Should the engagement last longer than six months between acceptance of financial planning agreement and delivery of the financial plan, any prepaid unearned fees will be promptly returned to you less a pro rata charge for bona fide financial planning services rendered to date. You may terminate the financial planning agreement upon written notification to our firm. If you have pre-paid financial planning fees that we have not yet earned, you will receive a prorated refund of those fees. If financial planning fees are payable in arrears, you will be responsible for a prorated fee based on services performed prior to termination of the financial planning agreement. Financial Consulting Services We charge a fixed fee for financial consulting services. Fixed fees are negotiable and range from $250 to $30,000, depending on the scope and complexity of services rendered and will be documented in a financial consulting agreement between you and us. Our consulting fees are due at the inception of the consulting relationship. You may terminate the financial consulting agreement upon written notification to our firm. If you have pre-paid financial consulting fees that we have not yet earned, you will receive a prorated refund of those fees. If financial consulting fees are payable in arrears, you will be responsible for a prorated fee based on services performed prior to termination of the financial consulting agreement. Additional Fees and Expenses As part of our investment advisory services to you, we may invest, or recommend that you invest, in mutual funds and exchange traded funds. The fees that you pay to our firm for investment advisory services are separate and distinct from the fees and expenses charged by mutual funds or exchange traded funds (described in each fund's prospectus) to their shareholders. These fees will generally include a management fee and other fund expenses. You will also incur transaction charges and/or brokerage fees when purchasing or selling securities. These charges and fees are typically imposed by the broker-dealer or custodian through whom your account transactions are executed. We do not share in any portion of the brokerage fees/transaction charges imposed by the broker-dealer or custodian. Item 7 Types of Clients
We offer investment advisory services to the following types of clients:
• Individuals;
• High Net Worth Individuals
• Corporations;
• Trusts;
• Estates; and
• Charitable organizations.
In general, we do not require a minimum dollar amount to open and maintain an advisory account;
however, we have the right to terminate your account if it falls below a minimum size which, in our sole
opinion, is too small to manage effectively.
We may also combine account values for you and your minor children, joint accounts with your
spouse, and other types of related accounts to meet the stated minimum. |
