Item 5: Fees and Compensation
A. Discretionary Investment Management.
Adviser is compensated for its discretionary investment management services by fees charged
based on a client’s assets under management with Adviser pursuant to the table below:

For the first $0 to $250,000 1.15%
For the next $250,001 to $500,000 1.05%
For the next $500,001 to $1,000,000 0.95%
For the next $1,000,000 to $2,000,000 0.85%
For the next $2,000,001 to $5,000,000 0.50%
For any amount above $5,000,000 0.30%
The investment management fees set forth above reflect a “tiered” or “blended” fee schedule,
which means that different annual fee percentages will apply to different ranges of client assets
under Adviser’s management. Fees are typically deducted in arrears on a quarterly basis from a
client’s managed assets and based upon the total market value of such assets managed by
Adviser as of the last business day of the calendar quarter as reported by the custodian of the
account. Alternatively, a client may elect to pay Adviser’s fees via check or third-party payment
processor.
Investment management fees are prorated from the date a client’s assets are first designated to
be under Adviser’s management to the effective date of termination of the services agreement
with Adviser.
To the extent a client pays a minimum annual fee of $10,000, Adviser may additionally render
ongoing financial planning / Wealth Management Services for no additional fee. Minimum annual
fee thresholds for which ongoing financial Planning / Wealth Management Services are included
for no additional fee are determined on a case-by-case basis in Adviser’s sole discretion.
B. Financial Planning.
a. Project-Based Financial Planning.
In consideration of its project-based financial planning services, Adviser charges
pursuant to either (i) an hourly rate of $400 per hour, (ii) a one-time flat fee that typically
ranges from $400 to $30,000 based on the nature, complexity, and scope of the financial
planning services to be rendered, or (iii) a one-time, live, 90-minute focused financial
planning session that is typically $600.
When charging on an hourly basis, the hourly fee and estimated project time dedication
will be agreed upon before the start of services. Once services are commenced, the
client will be notified if the projected financial planning time is expected to go over by
more than 25% of the original estimated cost. Fees for this service may be paid by a
third-party payment processor or check upon the completion of services rendered.
When charging on a flat fee basis, the flat fee will be agreed upon before the start of
services. Half of the flat fee is due upon engagement with the balance due upon the
completion of services rendered. Fees for this service may be paid by a third-party
payment processor or check upon the completion of services rendered. In the event of
early termination of the services agreement with Adviser before the completion of the
engagement, any prepaid but unearned fees will be refunded to the client based on the
percentage of services completed up to the date of termination; any completed
deliverables will be provided to the client upon termination.

The fee for the one-time, live, 90-minute focused financial planning session is charged in
advance at the time a client schedules the appointment. Fees for this service may be
paid by a third-party payment processor. There are no Adviser deliverables associated
with this service offering. In the event the client cancels before the date of the
appointment, the client’s fee will be refunded in full.
b. Ongoing Financial Planning.
In consideration of its ongoing financial planning services, Adviser charges a minimum
annual fee of $10,000, paid in quarterly increments in arrears, and off-set against any
asset-based investment management fees paid by the client. Ongoing financial planning
fees will be readjusted on the annual anniversary of the initial date of engagement based
changes in the client’s investment account balances and associated investment
management fees. Fees for this service may be paid by a third-party payment processor
or check.
For the avoidance of doubt, a client that receives wealth management services will pay
both the asset-based investment management fee and the recurring flat financial
planning fee unless the client maintains at least $500,000 under Adviser’s management.
To the extent a client is receiving wealth management services, Adviser will pay for
personal tax return preparation and filing by an independent and unaffiliated third-party
tax professional pre-approved by Adviser. Adviser will need to negotiate the price on tax
preparation services before pre-approving any additional tax professionals. Adviser does

Item 7: Types of Clients
Adviser generally provides its services to individuals, high-net-worth individuals, charitable organizations,
and defined contribution plans, defined benefit plans, or other employee benefit plans. Adviser does not
require a minimum account value to open or maintain an account; however, we do charge minimum
annual fees as described in Item 5, above.
