ITEM 5. FEES AND COMPENSATION
FEE SCHEDULE
PORTFOLIO MANAGEMENT FEES

Your fee will be calculated on a quarterly basis and is paid in arrears. The Firm uses the value of the
account as of the last business day of the billing period, after taking into account deposits and withdrawals,
for purposes of determining the market value of the assets upon which the advisory fee is based. That
amount is then multiplied by the fee percentage, which results in an annualized fee. The annualized fee is
divided by four to arrive at the quarterly fee you will be charged.

The Firm’s fee may be negotiated on a client-by-client basis, but generally follows the above fee schedule.
The Firm’s annual fee is exclusive of, and in addition to, brokerage commissions, transactions fees, and
other related costs and expenses incurred by your or your accounts. The Firm does not, however, receive
any portion of these commissions, fees, and costs. There is no minimum account size. As previously
mentioned in Item 4, and further reiterated herein, the Firm’s management fee may also include financial
planning services.
The specific annual fee schedule is identified in the Agreement between us. Your fee structure will never
change from that contained in your Agreement with us unless agreed to in writing by you and made a part
of your Agreement.
SWP may direct clients to third-party investment advisors. SWP will be compensated via a fee share from
the advisors to which it directs those clients. The fees shared are negotiable and will not exceed any limit
imposed by any regulatory agency. The notice of termination requirement and payment of fees for third-
party investment advisors will depend on the specific third-party advisor selected.
We request that you authorize and direct the custodian of your account to pay our fees directly to us from
the portfolio. However, it is your option to authorize this process, and if you do not approve of the direct
deduction from your account, we will submit periodic invoices directly to you or the custodian, as you
request.
Our employees, their family members, and our proprietary accounts, such as a Firm 401k plan, may be
exempt from management fees charged by us to manage these accounts.
Please note that similar advisory services may (or may not) be available from other registered investment
advisors for similar or lower fees.

FINANCIAL PLANNING FEES

Fixed Fees
In certain circumstances, if financial planning is being provided as a standalone service not in conjunction
with the Firm’s investment management services, a fixed rate up to 1.00% of plan assets may be charged
to you for creating financial plans.

The fees are negotiable, and the final fee schedule will be attached as an exhibit to the Financial Planning
Agreement. As previously mentioned, this fixed rate for financial planning is for standalone financial
planning and may not apply for those clients that are receiving both financial planning and investment
management services.

PAYMENT OF FEES
PAYMENT OF PORTFOLIO MANAGEMENT FEES

The management fees are withdrawn directly from the client's accounts with client's written authorization
on a quarterly basis or may be invoiced and billed directly to the client on a quarterly basis. Clients may
select the method in which they are billed. Fees are paid in arrears.

PAYMENT OF FINANCIAL PLANNING FEES

Fixed financial planning fees, if and where applicable, are either charged in arrears upon completion or in
advance, but never more than six months in advance.

FEES CHARGED BY FINANCIAL INSTITUTIONS
As further discussed in response to Item 12 (below), SWP will generally utilize Charles Schwab & Co.,
Inc. (“Schwab”), a registered broker-dealer and member SIPC, which provides custody, brokerage, and
related services to the Firm, including through its advisor platform.
SWP may only implement its investment management strategy after the client has arranged for and
furnished SWP with all information and authorization regarding accounts it establishes with the broker
and custodian (“Financial Institutions”).
Clients may incur certain charges imposed by the Financial Institutions and other third parties such as
custodial fees, charges imposed directly by a mutual fund or ETF in the account, which are disclosed in
the fund’s prospectus (e.g., fund management fees and other fund expenses), deferred sales charges, odd-
lot differentials, transfer taxes, wire transfer and electronic fund fees, and other fees and taxes on
brokerage accounts and securities transactions. Additionally, for assets outside of any wrap fee programs,
clients may incur brokerage commissions and transaction fees. Such charges, fees and commissions are
exclusive of and in addition to SWP’s fee.
SWP’s Agreement and the separate agreement with any Financial Institution may authorize the Financial
Institution to debit your account for the amount of SWP’s fee and to directly remit that management fee
to SWP. The Financial Institution has agreed to send a statement to the client, at least quarterly, identifying
all amounts disbursed from the account including the amount of management fees paid directly to SWP.
Alternatively, clients may elect to have SWP send an invoice for payment.

FEES FOR MANAGEMENT FOR PARTIAL PERIODS OF SERVICE
For all asset-based fees paid in advance, the refunded fee will be equal to the balance of the fees collected
in advance minus the daily rate* times the number of days elapsed in the billing period up to and including
the day of termination.
*The daily rate is calculated by dividing the annual asset-based fee by 365.

SWP generally provides advisory services to the following types of clients:
      Individuals
      High-Net-Worth Individuals
      Corporations
This list is not exhaustive, and the Firm may provide advisory services to other types of clients as
appropriate. There is no account minimum for any of SWP’s services.
