Item 5 – Fees and Compensation

The investment manager to each Fund is an affiliate of WFUS and, pursuant to an investment
management agreement entered into with each Fund, receives an asset-based fee from the Fund.
WFUS receives performance-based compensation from certain Funds.

Each Fund also bears the fees and expenses charged by its custodian and other service providers,
brokerage costs related to investments, and other expenses incurred in operating the Fund or
account. For more information, please see Item 12 – Brokerage Practices.

In some circumstances, an investor in a WFUS Fund or a client of a WFUS affiliate may purchase
interests in a Fund for which fees are waived, reduced or otherwise not charged because that client’s
account is charged fees outside the Fund based on the aggregate assets and/or performance of that
account, including its investment in the Fund. In other cases, WFUS or its affiliates may receive fees
from both a client’s accounts outside the Fund and that client’s interest in the Fund. WFUS or its
affiliates may agree to calculate fees paid directly by a client outside the Fund based on the aggregate
assets managed on that client’s behalf, including assets attributable to its investment in the Fund, or
some other aggregate metric.

Fees and expenses are charged to and deducted from the Funds in arrears. Additional information on
each Fund’s fees and expenses is provided in the Offering Documents.

Item 7 – Types of Clients

WFUS provides advisory services only to the Funds, which are private investment funds exempt from
registration as investment companies under the Investment Company Act of 1940.
